1. GENERAL

1.1 These Terms and Conditions (“Terms”) govern your use of the doctranslate.com website and the AI document translation services (collectively, the “Services”) offered by Intellectus Universe Pte. Ltd. (“Intellectus Universe”, “we”, “us”, or “our”), a Singapore-incorporated entity with company registration number 202556427R, whose registered office is at 12 Woodlands Square, #13-79, Woods Square, Singapore 737715.

1.2 By accessing, browsing, or using any part of the Services, you agree to be bound by these Terms, as well as any other applicable policies, guidelines, or operating rules posted by Intellectus Universe on doctranslate.com. If you do not agree to these Terms, you must immediately discontinue use of the Services.

1.3 Intellectus Universe may revise these Terms at any time. Updated versions will be posted on doctranslate.com, and continued use of the Services after changes constitutes acceptance of the revised Terms.

2. LICENSE AND RESTRICTIONS

2.1 License Grant

Subject to these Terms, Intellectus Universe grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your personal or internal business purposes, as permitted by Intellectus Universe.

2.2 Restrictions

You shall not:

(a) copy, reproduce, modify, distribute, republish, download, display, post, transmit, or create derivative works from any part of the Services, except as expressly authorized;

(b) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the Services;

(c) rent, lease, sub-license, assign, distribute, or otherwise transfer rights to the Services;

(d) use the Services for any unlawful, unauthorized, fraudulent, or malicious purposes;

(e) access or use the Services in any way intended to circumvent, disrupt, damage, or interfere with the integrity or proper working of the Services or any data contained therein;

(f) enable or permit any third party to do any of the foregoing.

3. USER ACCOUNT

3.1 To use INTELLECTUS UNIVERSE’s Platform and/or services, you are first required to open an Account and in doing so, you are required to provide all data and/or information which INTELLECTUS UNIVERSE deems reasonably relevant and necessary. In connection hereof, you undertake to provide accurate, complete and updated data/and information as requested. Should there be any changes or updates in your data/and information, you are under an obligation to inform the same to INTELLECTUS UNIVERSE immediately.

3.2 After filling in the relevant information in accordance with the requirements of this Platform, and going through other relevant procedures, you will successfully register yourself as a user of INTELLECTUS UNIVERSE (hereinafter referred to as “User”); in the process of registration or using this Platform, if you click on “I Agree” button or a similar button, it shall be deemed that you have reached an agreement with the Company by way of electronic signature; or if you use the services offered by this Platform in any of the ways allowed by INTELLECTUS UNIVERSE, it shall be deemed that you fully understand, agree to, and accept all the Terms under this Agreement, and in this case, the absence of your handwritten signature will not affect the legal binding force that this Agreement may have on you.

3.3 Eligibility for registration

You confirm and promise that: you shall be a natural person, legal person, or other organization with the ability to sign this Agreement and the ability to use the services of INTELLECTUS UNIVERSE, as is provided by applicable laws, when you complete the registration process or when you use the services offered by this Platform in any other manner as is otherwise permitted by INTELLECTUS UNIVERSE. Upon clicking on the button indicating that you agree to register, it shall be deemed that you or your authorized agent agrees to the content of this Agreement and your authorized agent will register with INTELLECTUS UNIVERSE and use the services offered by INTELLECTUS UNIVERSE on your behalf. If you are not a natural person, legal person, or organization with the abovementioned ability, you and your authorized agent shall bear all the consequences of that, and the company reserves the right to cancel or permanently freeze your account and to hold you and your authorized agent accountable.

3.4 Purpose of registration: You confirm and promise that you do not register with INTELLECTUS UNIVERSE for the purpose of violating any of the applicable laws or regulations or undermining the order of digital asset transactions on this Platform.

3.5 You agree to provide a valid email address, a mobile phone number, and other information in accordance with the requirements on the user registration page of this Platform. You can use your email address, mobile phone number, or any other manner permitted by this Platform to log in to this Platform. Where it is necessary and in accordance with the requirements of applicable laws and regulations of relevant jurisdictions, you shall provide your real name, identity document, and other information required by applicable laws, regulations, and the Privacy Policy, and constantly update your registration data so that they will be timely, detailed, and accurate as is required. All of the original typed data will be referenced as registration information. You shall be responsible for the authenticity, integrity, and accuracy of such information and bear any direct or indirect loss and adverse consequences arising out of it.

3.6 If any of the applicable laws, regulations, rules, orders, and other regulatory documents of the sovereign country or region in which you are based requires that mobile phone accounts must be based on real names, you hereby confirm that the mobile phone number you provide for registration purposes has gone through the real-name registration procedure. If you cannot provide such a mobile phone number as is required, any direct or indirect losses and adverse consequences arising therefrom and affecting you shall be borne by you. After you provide the required registration information in a legal, complete, and valid manner and such information passes relevant verification, you shall have the right to obtain an Account and a password of this Platform. Upon obtaining such Account and password, your registration shall be deemed as successful and you can log in to this Platform as a User thereof.

3.7 You agree to receive emails and/or short messages sent by this Platform related to the management and operation thereof.

4. USER UNDERTAKING

4.1 You shall not use the Services for purposes that are unlawful or prohibited by these Terms or in any way that could damage, disable, overburden, or impair the functioning or security of the Services.

4.2 You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations and does not violate or infringe the rights of any third party, including but not limited to intellectual property rights, privacy, or other proprietary rights.

4.3 You agree not to introduce malicious code, viruses, or other materials that may cause harm to the Services, its infrastructure, or its users.

4.4 You must not impersonate any person or entity, or misrepresent your affiliation or relationship with any person or entity, when using the Services.

5. COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS

5.1 All content, technology, software, documentation, information, and other materials accessible through or provided by Intellectus Universe (excluding User Content) and all intellectual property rights therein are the exclusive property of Intellectus Universe and its licensors.

5.2 Nothing in these Terms shall grant you any rights or licenses in or to any trademarks, logos, trade names, or other proprietary symbols of Intellectus Universe, except as expressly provided herein.

5.3 You may not use, reproduce, post, transmit, distribute, or modify any content made available on the Services, including but not limited to text, graphics, logos, images, and software, except in connection with your authorized use of the Services or as expressly permitted by Intellectus Universe.

6. APPLE APP STORE / GOOGLE PLAY STORE

6.1 If you access or download the Services via the Apple App Store or Google Play Store, you acknowledge and agree that these Terms are between you and Intellectus Universe only, and not with Apple Inc., Google LLC, or their affiliates (the “App Providers”).

6.2 Your use of the Services must also comply with all applicable App Provider terms and policies.

6.3 The App Providers are not responsible for the Services, and Intellectus Universe, not the App Providers, is solely responsible for addressing any claims related to the Services, including product liability, legal compliance, consumer protection, and intellectual property claims.

7. INDEMNITIES AND LIABILITIES

7.1 To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Intellectus Universe, its affiliates, directors, officers, employees, agents, service providers, and licensors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from or relating to your use or misuse of the Services, your breach of these Terms, or your violation of any law or the rights of any third party.

7.2 Intellectus Universe assumes no liability for any loss or damage arising directly or indirectly from your use of or inability to use the Services or from unauthorized access to or alteration of your transmissions or data.

8. WARRANTIES AND REPRESENTATIONS

8.1 Except as expressly set forth herein and to the maximum extent permitted by law, all Services and materials provided by Intellectus Universe are provided “as is” and “as available,” without warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted, secure, error-free, or free of harmful components.

8.2 Intellectus Universe makes no representation, warranty, or guarantee as to the reliability, accuracy, completeness, or validity of any information, content, or results provided by the Services.

9. RISK OF USAGE

9.1 You acknowledge and accept that your use of the Services is entirely at your own risk. You are solely responsible for evaluating and verifying the accuracy, completeness, and applicability of any information or output generated by the Services.

9.2 Intellectus Universe is not responsible for any loss, damage, or other adverse consequences that may result from your reliance on materials, outputs, or other content obtained through the Services.

10. GENERAL TERMS

10.1 Independent Parties. INTELLECTUS UNIVERSE is an independent contractor but not an agent of you in the performance of these Terms. These Terms shall not be interpreted as facts or evidence of an association, joint venture, partnership, or franchise between the parties.

10.2 Interpretation and Revision. INTELLECTUS UNIVERSE reserves the right to alter, revise, modify, and/or change these Terms at any time. All changes will take effect immediately upon being published on INTELLECTUS UNIVERSE’s Platform. It is your responsibility to regularly check relevant pages on our Platform to confirm the latest version of these Terms. If you do not agree to any such modifications, your only remedy is to terminate your usage of INTELLECTUS UNIVERSE services and cancel your account. You agree that, unless otherwise expressly provided in these Terms, INTELLECTUS UNIVERSE will not be responsible for any modification of INTELLECTUS UNIVERSE services or suspension or termination of your access to INTELLECTUS UNIVERSE services.

10.3 Language & Translations. These Terms may, at INTELLECTUS UNIVERSE’s sole and absolute discretion, be translated into a language other than English for your convenience. You agree that any such translation shall only be for your convenience and the English text shall prevail in the event of any ambiguity, discrepancy or omission.

10.4 Force Majeure. INTELLECTUS UNIVERSE will not be liable for any delay or failure to perform as required by these Terms because of any cause or condition beyond INTELLECTUS UNIVERSE’s reasonable control.

10.5 Severability. If any portion of these Terms is held invalid or unenforceable, such invalidity or enforceability will not affect the other provisions of these Terms, which will remain in full force and effect, and the invalid or unenforceable portion will be given effect to the greatest extent possible.

10.6 Validity or Provision. If any provision of this Agreement is found unenforceable, invalid, or illegal by any court of competent jurisdiction, validity of the remaining provisions of this Agreement shall not be affected.

10.7 Assignment. You may not assign or transfer any right to use INTELLECTUS UNIVERSE services or any of your rights or obligations under these Terms without prior written consent from INTELLECTUS UNIVERSE, including any right or obligation related to the enforcement of laws or the change of control. INTELLECTUS UNIVERSE may assign or transfer any or all of its rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent or approval.

10.8 Successors and Assigns. The rights and obligations agreed in this Agreement shall be equally binding on the assignees, the heirs, executors, and administrators of the parties hereto who benefit from the rights and obligations.

10.9 Waiver. The failure of one party to require performance of any provision will not affect that party’s right to require performance at any time thereafter. At the same time, the waiver of one party to seek recovery for the other party’s violation of these Terms or any provision of applicable terms shall not constitute a waiver by that party of any subsequent breach or violation by the other party or of the provision itself.

10.10 No Agency. Nothing in this Agreement shall be deemed to have created, implied or otherwise, to have treated us as your agent, trustee, or other representative, unless it is provided otherwise in this Agreement.

10.11 Third-Party Website Disclaimer. Any links to third-party websites from INTELLECTUS UNIVERSE services does not imply endorsement by INTELLECTUS UNIVERSE of any product, service, information or disclaimer presented therein, nor does INTELLECTUS UNIVERSE guarantee the accuracy of the information contained on them. If you suffer loss from using such third-party products and services, INTELLECTUS UNIVERSE will not be liable for such loss. In addition, since INTELLECTUS UNIVERSE has no control over the terms of use or privacy policies of third-party websites, you should read and understand those policies carefully.

10.12 Technology Disclaimers. You acknowledge and agree that: (i) INTELLECTUS UNIVERSE may, from time to time, suspend access to your INTELLECTUS UNIVERSE accounts, the INTELLECTUS UNIVERSE Platform, the Service, and/or any other INTELLECTUS UNIVERSE services for scheduled or emergency maintenance. INTELLECTUS UNIVERSE will use reasonable efforts to ensure that transactions on the INTELLECTUS UNIVERSE Platform are processed in a timely manner; however, INTELLECTUS UNIVERSE makes no representations or warranties as to the duration required to complete such processing, as this is subject to numerous factors beyond INTELLECTUS UNIVERSE’s control. (ii) While INTELLECTUS UNIVERSE endeavours to keep the information on the INTELLECTUS UNIVERSE Platform current, INTELLECTUS UNIVERSE makes no representations, warranties, or guarantees, whether express or implied, that the content on the INTELLECTUS UNIVERSE Platform—including information relating to the Services and any other INTELLECTUS UNIVERSE services—is accurate, complete, or up to date. (iii) You are solely responsible for obtaining the necessary data network access to utilize the Services or any other INTELLECTUS UNIVERSE services. You are also responsible for procuring and maintaining compatible hardware or devices required to access and use the Service, any INTELLECTUS UNIVERSE services, the INTELLECTUS UNIVERSE Platform, and any related updates. INTELLECTUS UNIVERSE does not guarantee that any of its services, or any portion thereof, will function on any specific hardware or devices. The INTELLECTUS UNIVERSE services may be subject to malfunctions and delays that are inherent in the use of the internet and electronic communications.

10.13 Governing Law and Dispute Resolution. The Terms, your use of our Platform, and the services are governed by the law of Singapore. Any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved or settled under the Rules of Singapore International Arbitration Centre (“SIAC”). The governing law of the contract shall be the substantive law of Singapore. The seat of arbitration shall be Singapore. The number of arbitrators shall be three. The arbitration proceedings shall be conducted in the English language.
